Welcome to Soldy. These Terms of Service ("Terms") govern your access to and use of the Soldy website, products, and services offered at https://soldy.ai/ (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.
If you are using the Services on behalf of a business or organization, you agree to these Terms for that business and represent that you have authority to bind it.
1. ACCEPTANCE OF TERMS
Your use of Soldy's Services is subject to these Terms, the Privacy Policy, and any additional terms presented when you sign up, purchase, or use specific features. If you do not agree to all these terms, you must not use the Services.
2. WHO CAN USE THE SERVICES
You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you are at least 18 and have legal capacity to enter into this agreement.
3. ACCOUNT REGISTRATION AND SECURITY
To use certain features, you must create an account.
- You agree to provide accurate information and update it as necessary.
- You are responsible for safeguarding your login credentials and all activity under your account.
- You must notify Soldy immediately if you suspect unauthorized access.
4. PLANS, BILLING, AND PAYMENT
4.1 Paid Plans
Soldy may offer subscription plans and credit-based usage plans. Details of plans, prices, and features are displayed on the Site or in your account.
4.2 Billing
- Subscriptions renew automatically until you cancel.
- You authorize Soldy and its payment processors to charge your selected payment method for fees incurred.
- All fees are non-refundable except where required by law.
4.3 Taxes
You are responsible for any applicable taxes unless otherwise stated.
5. CONTENT YOU PROVIDE
"User Content" means any material you upload, submit, or input into the Services (such as photos, text, videos, prompts, logos, brand assets, product images, scripts, or other materials).
5.1 Your Warranties
By submitting User Content, you represent and warrant that:
- You own the content or have all necessary rights.
- You have obtained consent from any person appearing in or referenced by the content.
- Your content does not infringe any third-party rights or violate laws.
5.2 License to Operate
By using the Services, you grant Soldy a worldwide, non-exclusive, royalty-free license to host, store, process, and use your User Content solely to provide, improve, and secure the Services, and to comply with these Terms and applicable law.
6. AI OUTPUTS & COMMERCIAL USE
"Output" refers to content generated by the AI based on your User Content and inputs.
6.1 Ownership and License
As between you and Soldy:
- You retain ownership of your User Content.
- Soldy grants you a non-exclusive, worldwide, royalty-free license to use your Outputs for personal and commercial purposes, subject to these Terms.
6.2 No Guarantees of Uniqueness
AI-generated Outputs may not be unique and may resemble other content created by the system for other users. Soldy does not guarantee that any Output is free of similarity to third-party content.
6.3 Responsibility for Use
You are responsible for how you use Output. You must ensure that your use of Output complies with all applicable laws, platform policies (e.g., Meta, TikTok, Google ads), and intellectual property requirements.
7. RESTRICTIONS AND PROHIBITED USE
You agree not to use the Services to:
- Violate any law or regulation.
- Upload or create content that is defamatory, illegal, harmful, sexually explicit, or discriminatory.
- Infringe the rights of others (including copyright, trademark, privacy, publicity).
- Generate manipulative or deceptive media (e.g., deepfakes, impersonations).
- Disrupt, overburden, or interfere with the Services.
- Reverse engineer, decipher, or attempt to extract underlying system components.
- Resell, sublicense, or redistribute the Services, except as permitted in writing by Soldy.
Soldy may remove prohibited content or suspend accounts at its discretion.
8. THIRD-PARTY SERVICES
The Services may integrate with third-party APIs, platforms, or services (including payment processors, cloud storage, or social platforms). Use of such services is subject to their terms. Soldy is not responsible for third-party actions, quality, or policies.
9. PRIVACY POLICY
Your use of the Services is also governed by Soldy's Privacy Policy, which explains how Soldy collects and uses personal information. The Privacy Policy is incorporated by reference.
10. SUSPENSION & TERMINATION
Soldy may suspend or terminate your access to the Services without notice if you violate these Terms or if required by law. Termination will not relieve you from obligations that survive termination.
Surviving Sections include: Intellectual Property, AI Outputs, Disclaimers, Limitation of Liability, Indemnification, Governing Law.
11. DMCA / COPYRIGHT CLAIMS
If you believe your copyrighted work has been infringed in Soldy's Services, you may submit a notice to copyright-agent@soldy.ai with:
- Identification of the copyrighted work,
- Location of the infringing material,
- Your contact information,
- A statement of good-faith belief,
- Signature (electronic or physical).
We will respond in accordance with applicable law.
12. DISCLAIMERS
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, Soldy DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ACCURACY OF OUTPUT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE.
13. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Soldy AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION ARISING FROM YOUR USE OF THE SERVICES.
Soldy'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNTS YOU PAID TO Soldy IN THE TWELVE (12) MONTHS PRIOR TO THE ACT GIVING RISE TO LIABILITY.
14. INDEMNIFICATION
You agree to indemnify and hold harmless Soldy and its affiliates, officers, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including legal fees) arising from:
- Your use of the Services;
- Your User Content or Output;
- Your violation of these Terms or applicable laws.
15. GOVERNING LAW & DISPUTE RESOLUTION
These Terms are governed by the laws of Singapore.
15.1 Informal Resolution
Before formal dispute resolution, you agree to attempt to resolve disputes informally by contacting support.
15.2 Arbitration
Any dispute will be resolved by final and binding arbitration administered by the Singapore International Arbitration Centre (SIAC), in English, and in Singapore. You and Soldy each waive the right to a jury trial.
16. MISCELLANEOUS
Entire Agreement: These Terms (and referenced policies) constitute the entire agreement.
Severability: If part of these Terms is unenforceable, the remainder remains in effect.
Waiver: Failure to enforce a right is not a waiver.
Notice: Notices to you may be sent via email or posted in your account.
